TERMS OF SERVICE

HOW WE AGREE, DELIVER & STAND BEHIND OUR WORK

THE RULES OF OUR ENGAGEMENT

These Terms of Service (“Terms”) govern the supply of services by Digital Pine Ltd (“Digital Pine”, “we”, “us”, “our”), a company registered in England and Wales under company number 15103226, with offices at Cardinal Point, Park Road, Rickmansworth, WD3 1RE, United Kingdom.

By engaging Digital Pine for any service — whether through a written quote, signed proposal, email confirmation, verbal agreement, or any combination thereof — the client (“Client”, “you”) agrees to be bound by these Terms. These Terms form the legal agreement between Digital Pine and the Client and apply to all services delivered, regardless of how the engagement was initially agreed.

1. Services

Digital Pine provides digital agency services including, but not limited to:

  • Website design, development, and maintenance
  • Mobile and web application development
  • Branding, graphic design, and creative services
  • Search engine optimisation (SEO) and content creation
  • Paid advertising management on platforms such as Google Ads and Meta Ads
  • Analytics, tracking, and reporting

The specific scope of work, deliverables, timelines, and fees for any given engagement are defined in a written quote, proposal, statement of work, or email exchange agreed between Digital Pine and the Client.

2. How Agreements Are Formed

An engagement with Digital Pine is formed when the Client accepts a quote, proposal, or scope of work — whether by signed document, email confirmation, written message, verbal agreement during a phone call or meeting, or by making a payment (including a deposit) for the proposed services.

Verbal or email-based agreements are equally binding. Where a service is agreed verbally, Digital Pine will normally follow up with a written summary by email; the Client’s failure to dispute that summary in writing within five working days constitutes acceptance of its contents.

3. Client Responsibilities

The Client agrees to:

  • Provide accurate, complete, and timely information, content, and assets necessary for Digital Pine to deliver the agreed services
  • Grant Digital Pine the access required to perform the services (for example, administrator access to advertising accounts, websites, hosting, domain registrars, or analytics platforms)
  • Ensure that all content, assets, trademarks, logos, images, and other materials supplied to Digital Pine are owned by the Client or properly licensed for the intended use
  • Review deliverables and provide feedback or approvals within the timeframes set out in the agreed scope, or within a reasonable time where no specific timeframe is agreed
  • Comply with all applicable laws and platform policies, including the advertising policies of Google, Meta, Apple, and any other platform on which work is delivered
  • Pay invoices in accordance with the agreed payment terms

Delays or failures by the Client in fulfilling these responsibilities may result in project delays, additional costs, or, at Digital Pine’s discretion, suspension of work.

4. Fees, Payment Terms, and Deposits

Fees are set out in the agreed quote, proposal, or statement of work. Unless otherwise agreed in writing:

  • A non-refundable deposit may be required before work commences. The deposit secures Digital Pine’s time and resources for the engagement and is offset against the final invoice
  • Project work is invoiced in stages, typically including a deposit, milestone payments, and a final balance payable on completion or before handover
  • Ongoing or retainer services are invoiced monthly in advance unless otherwise agreed
  • Invoices are payable within 14 days of the invoice date
  • Late payments may incur statutory interest and recovery costs in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 (currently 8% above the Bank of England base rate)
  • Digital Pine reserves the right to suspend or pause services if invoices remain unpaid beyond the agreed payment terms, and to withhold delivery of final files, code, or assets until full payment has been received

All fees are exclusive of VAT, where applicable. All fees are quoted in pounds sterling (GBP) unless otherwise stated.

5. Advertising Spend and Third-Party Costs

For paid advertising services (such as Google Ads or Meta Ads), advertising budget is separate from Digital Pine’s management fees. The Client is responsible for funding the advertising account directly with the relevant platform unless otherwise agreed in writing. Digital Pine is not responsible for any advertising spend incurred on the Client’s account beyond the agreed budget where the platform’s billing is set up under the Client’s payment method.

Third-party costs incurred on behalf of the Client (such as stock images, fonts, plugins, hosting, domain registration, app store fees, or premium tools) are either invoiced separately or pre-funded by the Client.

6. Scope Changes and Variations

Any changes to the agreed scope of work — whether requested by the Client or arising during the project — must be agreed in writing (including by email). Additional work outside the original scope will be quoted separately and may affect the project timeline. Digital Pine is not obliged to carry out additional work without an agreed variation and corresponding fee.

7. Project Timelines and Delays

Digital Pine will use reasonable efforts to deliver services within the agreed timelines. Timelines are estimates and depend on timely Client input, third-party platform availability, and external factors outside Digital Pine’s control. Digital Pine is not liable for delays caused by the Client, third-party platforms, hosting providers, app store review processes, or events beyond its reasonable control.

8. Performance Disclaimers

The Client acknowledges that:

  • SEO and content services — Digital Pine cannot guarantee specific search engine rankings, organic traffic levels, or visibility in AI-driven search tools, as these depend on third-party algorithms, competitor activity, and other factors outside Digital Pine’s control
  • Paid advertising — Digital Pine cannot guarantee specific lead volumes, conversion rates, cost-per-acquisition figures, or return on ad spend, as these depend on market conditions, ad platform algorithms, the Client’s website performance, the Client’s product or service, and other factors outside Digital Pine’s control
  • App store submissions — Digital Pine cannot guarantee approval of any app submitted to the Apple App Store, Google Play Store, or any other platform, as approval is at the sole discretion of the platform operator
  • Third-party platforms — Digital Pine is not responsible for changes to platform features, pricing, terms, or availability that affect the delivery of services

Digital Pine is committed to applying best practice and will use reasonable efforts to deliver measurable results, but does not warrant any specific outcome.

9. Data Usage and Privacy

The Client acknowledges that during the course of providing services, Digital Pine may process personal data on behalf of the Client (for example, lead enquiries submitted through advertising forms managed by Digital Pine, or visitor data captured through analytics tools).

In such cases, the Client is the data controller and Digital Pine acts as the data processor. The Client is responsible for ensuring that any data shared with Digital Pine has been collected lawfully and that the Client has all necessary permissions and lawful bases to share it.

The Client agrees not to use Digital Pine’s services to collect, store, process, or transmit personal data in any manner that breaches the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018, or any other applicable data protection law.

For details of how Digital Pine handles personal data, please refer to our Privacy Policy.

10. Use of Third-Party Platforms and APIs

Many of Digital Pine’s services rely on third-party platforms, including but not limited to Google Ads, Google Analytics, Google Search Console, Meta Ads, Apple App Store, Google Play Store, hosting providers, domain registrars, and content management systems. The Client acknowledges that:

  • Use of these platforms is subject to the platforms’ own terms of service and policies, and the Client is bound by those terms in addition to these Terms
  • Digital Pine is not responsible for downtime, outages, or changes to platform features, pricing, policies, or availability that affect the delivery of services
  • Any data accessed through third-party APIs (including the Google Ads API and Meta Marketing API) is used solely for the purpose of delivering services to the relevant Client and is handled in accordance with the platform’s terms and Digital Pine’s Privacy Policy
  • Digital Pine does not resell, redistribute, or share API access or data with any third party other than the Client to whom it relates

11. Intellectual Property

Upon full payment of all fees due, the Client receives ownership of the final deliverables produced specifically for the Client (for example, the final website, app, branding assets, or written content), unless otherwise agreed in writing.

Digital Pine retains ownership of all underlying tools, scripts, code libraries, design templates, processes, and methodologies used to produce the deliverables, and may reuse these for other clients.

Digital Pine reserves the right to display completed work in its portfolio, case studies, and marketing materials unless the Client requests otherwise in writing.

Where third-party assets (such as fonts, stock images, plugins, or themes) are incorporated into the deliverables, the Client receives a licence to use them on the agreed terms set out by the third-party licensor; ownership of those assets remains with the original licensor.

12. Hosting, Domains, and Account Ownership

Where Digital Pine arranges hosting, domain registration, or third-party accounts on behalf of the Client, ownership of those accounts remains with the Client (or transfers to the Client on completion). The Client is responsible for ongoing renewal fees once the engagement ends, unless a maintenance or hosting retainer is in place.

Where Digital Pine retains administrator access to a Client account for the duration of an engagement, that access will be revoked or transferred to the Client on completion or termination of the engagement.

13. Confidentiality

Both parties agree to keep confidential any non-public information shared during the course of the engagement, including business plans, customer data, financial information, and proprietary processes. This obligation continues for two years after the engagement ends. Confidentiality does not apply to information that becomes publicly available through no fault of the receiving party, or that is required to be disclosed by law.

14. Cancellation, Refunds, and Termination

Either party may terminate an engagement by providing written notice in accordance with the agreed scope of work. Where no notice period is agreed:

  • Project work — the Client is liable for all work performed up to the date of termination, plus any non-recoverable third-party costs already committed on the Client’s behalf
  • Retainer or ongoing services — at least 30 days’ written notice is required from either party

Deposits are non-refundable. Fees paid for work already completed are non-refundable. Where a project is cancelled before completion, Digital Pine will provide a final invoice covering work delivered and outstanding costs.

Digital Pine may terminate an engagement immediately if the Client materially breaches these Terms, fails to pay invoices when due, behaves abusively or unprofessionally, or uses Digital Pine’s services for any unlawful purpose.

15. Limitation of Liability

To the fullest extent permitted by law, Digital Pine’s total liability to the Client under these Terms (whether in contract, tort, or otherwise) shall not exceed the total fees paid by the Client to Digital Pine in the three months immediately preceding the event giving rise to the claim.

Digital Pine is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of revenue, loss of data, loss of goodwill, or loss of business opportunity.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be limited or excluded under English law.

16. Indemnity

The Client agrees to indemnify and hold Digital Pine harmless against any third-party claims, losses, or damages arising from the Client’s breach of these Terms, the Client’s use of services, or the Client’s content, including any infringement of intellectual property rights, defamation, or breach of data protection law.

17. Force Majeure

Neither party is liable for failure to perform any obligation under these Terms where such failure is caused by events beyond reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, pandemic, internet or telecommunications outages, or third-party platform outages.

18. Changes to These Terms

Digital Pine may update these Terms from time to time. The latest version will be published on this page with the updated date noted at the bottom. Continued use of our services after a change constitutes acceptance of the updated Terms. Material changes will be notified to active Clients by email where reasonably practicable.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
